Terms and Conditions

1. GENERAL 
   1. MedTech Safety, Inc, a US corporation, (referred to as “MedTech Safety” or” we”, “ us”, or ” our”), introduces these Terms of Service (the “TOS) for providing our Services.
   2. The TOS establish the Terms and Conditions for providing our online Services to You.
   3. You and the Participants must abide by the TOS while using our Services.
2. DEFINITIONS

The terms used in the TOS are defined as follows:

1. Course Material – The documentation and templates provided by us to the Participant.
2. Participant – Either You or another individual indicated by You who has purchased Services provided by MedTech Safety.
3. Service(s) – Service provided by MedTech Safety, including in-person courses, online courses, consultations, or workshops.
4. Website – The website located at www.medtechsafety.com 
5. You – A customer who purchases a Service from MedTech Safety. You can be an individual, a legal person or any other entity capable of concluding valid agreements, regardless of organizational form.

3. PURCHASE OF SERVICES
   1. You may purchase Services and use the Website.
   2. For online courses, You may only assign one Participant per seat purchased. The correct information for each Participant must be provided to MedTech Safety.
4. KINDS OF SERVICES OFFERED BY MEDTECH SAFETY
   1. In-Person courses, and workshops.
   2. Online courses, and workshops.
   3. Consultations – in-person, and online.
5. IN-PERSON, AND ONLINE COURSES 
   1. MedTech Safety offers in-person and online courses for a fee, under its Intellectual Property rights.
   2. Description of the course can be found on the Website.  Course descriptions are informational and do not constitute a contractual offering.
6. PLACING ORDERS
   1. You may order Services from various points on the Website.  You may also email info@medtechsafety.com for special orders.  Courses and workshops are not offered on regular schedules.  Your order effectively reserves a spot for you on the next offering of the courses or workshops.  You may choose to pay via the Website to lock-in the price, or you may choose to pay later.  In either case your spot is reserved, upon your check out on the Website.  When the Service of your choice is made available by MedTech Safety, you will be notified to: confirm your registration, cancel your registration, or postpone to the next offering.  If you had chosen to pay later, you will be required to pay for the Service before the start of the Service.
   2. You must complete the checkout, with or without payment, in order to reserve your spot.
   3. By placing an order for the Services offered by MedTech Safety, you confirm that you have read, understood, and agree to the TOS; fully accept the content hereof and agree to be bound by them. Any other terms and conditions submitted by you are not valid.
   4. By providing us with the Participants’ data you confirm that the Participants agree to receive communications from MedTech Safety for the purposes of delivering Services.
   5. By placing an order, You accept to receive information concerning your order sent to the e-mail addresses provided while placing the order.
   6. MedTech Safety may limit for the number of Participants in a Service.  
7. PAYMENT
   1. Payments for the Services may be made via the Website, or via electronic fund transfers, or other methods acceptable to MedTech Safety.
   2. The currency for orders on the Website is USD.  Payments in other currencies may be accepted with prior arrangements with MedTech Safety. 
   3. For payments made via third parties (e.g., PayPal), you must resolve issues directly with them. MedTech Safety does not control over, or have visibility into third-party operations.
   4. MedTech Safety reserves the right to cease Service if You have an outstanding unpaid balance, until payment is made in full. 
8. CANCELLATION OR POSTPONEMENT OF SERVICE BY MEDTECH SAFETY
   1. MedTech Safety may cancel or postpone a Service. 
   2. In the case of a cancellation or postponement per ‎8.1, You may request a refund of the payment for the unrendered portions of the Services.  Our liability is strictly limited to the amounts paid by You.  The refund of the amounts to You removes all obligations, and liabilities from MedTech Safety.  Alternatively, upon a cancellation or postponement per ‎8.1 You may request to be placed on a waiting list to receive the canceled or postponed Service at a future date.
9. CANCELLATION OF SERVICE BY YOU
   1.  You may cancel a Service.
   2. For in-person courses, or workshops the refund schedule is as follows: 

• Cancellation greater than 45 days before the Service delivery date – full refund
• Cancellation between 20 and 45 days before the Service delivery date – 50% refund
• Cancellation less than 20 days before the Service delivery date – no refund.  (Credit may be requested by You to be applied toward a future Service.)

3. For online courses, or workshops the refund schedule is as follows: 

• Greater than 30 days before the delivery date – full refund
• Between 15 and 30 days before the delivery date – 50% refund
• Less than 15 days before the delivery date – no refund.  (Credit may be requested by You to be applied toward a future Service.)

Cancellation of consultations will bear a non-refundable charge equivalent to a full day (8 hours) at the agreed hourly rate.

10. COMPLAINTS 

 10.1 You may file complaints regarding improper provision of Services via e-mail to: info@medtechsafety.com. 

10.2 Complaints must contain:

1. Your data (name, company, postal address, e-mail address);
2. Date of Service; 
3. Description of the problem.

10.3 Incomplete complaints will not be processed.

11. MAINTENANCE
    1. MedTech Safety is not liable for technical problems with the Website, or email service. 
12. INTELLECTUAL PROPERTY RIGHTS
    1. Exclusive intellectual property rights to the content delivered within the Services and to the Course Material are vested in MedTech Safety.
    2.  You and Participants must abide by intellectual property rights regulations. Unauthorized copying, amendments, or public disclosure of the content of Services and/or Course Material without prior consent from MedTech Safety is prohibited unless otherwise agreed upon in writing. You and/or Participant are prohibited from recording the online Services in any form unless otherwise agreed upon in writing by MedTech Safety.
    3. MedTech Safety hereby grants to You and/or the Participants:

a) A non-exclusive, worldwide right to use, but not to: copy, modify, further develop, sell, or distribute the Course Material.  

b) A non-exclusive, worldwide right to use, and further develop the templates or reference materials provided within the Services, for internal to your company, or for personal use, but not to copy, sell, or otherwise distribute.

4. Unless you notify us otherwise, MedTech Safety may use your name and/or logo on the following website(s): MedTechSafety.com and linkedin.com to indicate that the You are or have been a customer of MedTech Safety.
5.  You and/or the Participants may not use MedTech Safety name, its logo or other content of the Website without prior written consent by MedTech Safety.  

13. LIABILITY
    1. MedTech Safety is not liable for any damage caused by providing Service to You. 
    2.  MedTech Safety’s total liability shall not exceed the total price paid by You for the Services.
14. MICELLANEOUS
    1. We reserve the right to change the TOS. Changes become effective once published unless stated otherwise. You will be informed of material changes via email and have 14 days to accept or reject them. If rejected, notify us at info@medtechsafety.com and Your name will be removed from registration lists.
    2. Material changes to TOS do not apply to the orders placed before the TOS changes came into force unless it is required by law.
    3.  The TOS shall be governed by the laws of the State of Florida, USA. All disputes shall be settled by Florida courts of proper jurisdiction.
